End User License Agreement

This End User License Agreement (“Agreement”) is between you and Traction Advisor Group LLC (“Traction,” “we,” “us”) and governs your use of the Traction Platform, including its dashboards, reports, client portal, and connections to third-party accounting systems (together, the “Platform”). By accessing the Platform or connecting an accounting system to it, you agree to this Agreement.

1. The Platform

The Platform ingests accounting data you authorize (for example, from QuickBooks Online), and produces financial dashboards, reports, and analytics as part of Traction's services to its clients. The services Traction provides to your organization are governed by your organization's engagement agreement with Traction; this Agreement governs your use of the Platform itself.

2. License

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Platform for your organization's internal business purposes during the term of your organization's relationship with Traction. We may suspend or revoke access to protect the Platform or its data.

You retain all rights to your organization's accounting data. You grant us the right to process that data to provide the Platform and Traction's services. Our collection and handling of data is described in our Privacy Policy. You can disconnect a connected accounting system at any time.

5. Third-party services

The Platform connects to third-party services (such as QuickBooks Online) with your authorization. Those services are governed by their own terms and policies (for QuickBooks Online, Intuit's), and we are not responsible for third-party services.

6. Intellectual property

The Platform, including its software, design, and analytics machinery, is the property of Traction or its licensors and is protected by intellectual-property law. No rights are granted except the limited license above. Feedback you provide about the Platform may be used to improve it without obligation to you.

7. Disclaimers

The Platform presents analytics derived from your accounting records and is provided for informational purposes. It is not a substitute for professional advice; any accounting, tax, or advisory services Traction provides are governed by your organization's engagement agreement, not this Agreement. THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, AND NON-INFRINGEMENT.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRACTION WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING FROM OR RELATED TO THE PLATFORM. TRACTION'S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE AMOUNTS PAID FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE. Nothing in this Agreement limits liability that cannot be limited by law.

9. Term and termination

This Agreement applies for as long as you use the Platform. Either party may terminate by ending Platform access; your organization's engagement agreement governs the broader service relationship. On termination, your right to use the Platform ends; data handling after termination is described in the Privacy Policy.

10. Changes

We may update this Agreement from time to time. If we make material changes, we will update this page and revise the effective date. Continued use of the Platform after a change takes effect constitutes acceptance.

11. Governing law

This Agreement is governed by the laws of the State of [STATE], without regard to its conflict-of-laws rules. Any engagement agreement between your organization and Traction controls over this Agreement if the two conflict.
